Vendor Terms and Conditions last updated on 13 August 2018
This Vendor Terms and Conditions (hereinafter referred to as “Vendor Terms and Conditions”) is legally binding between Vendors and Bridestory, which regulates the rights and obligations of Vendors and Bridestory with respect to the use of the Bridestory Platform.
By registering as a Vendor on Bridestory Platform, then the Vendor agree to submit to and be bound to the Vendor Terms and Conditions, Bridestory Pay Cashback Terms and Conditions, and other provisions that have been or will be set by Bridestory in connection with the Bridestory Platform, as well as represent and warrant that: (i) the Vendor is an individual who is already aged 18 (eighteen) years of age; and (ii) is legally entitled to make a binding agreement.
If Vendor register for and on behalf of the company, organization or other entity, then the Vendors represent and warrant that Vendor has the authority to perform the registration, using the Bridestory Platform, and execute Transactions for and on behalf of the company, organization or entity.
In this Vendor Terms and Conditions, unless expressly specified other, the terms below have the following meanings:
2.1 Vendor is fully responsible for the confidentiality of login id, password, email, and other informations in connection with the Vendor Account ("Registration Information"). Therefore, User is not allowed to:
2.2 Bridestory will process everything that relates to the use of the Bridestory Platform based on the Registration Information, treat the Registration Information as a legitimate orders from the Vendor. Bridestory is not obliged to verify whether the Vendor Account is used by the Vendor.
2.3 If Vendor is aware of the existence of illegal access to the Registration Information or Vendor Account, then Vendor is obliged to inform immediately to Bridestory at email@example.com. For the avoidance of doubt, such notice does not create responsibility to Bridestory for any form of misuse of Registration Information or Vendor Account as a result of the existence of illegal access.
3.1 In the Bridestory Platform, Vendor is only allowed to offer goods and/or services (“Product”) as specified in the Appendix I.
3.2 Bridestory reserves the right to delete goods and/or services offered by the Vendor immidietly through the Bridestory Platform that does not correspond to the Product.
4.1 Payment of Transaction can be done through Bridestory Pay, with provisions as follows:
(a) User orders Product that is offered by Vendor;
(b) after Vendor received the order, Vendor is obliged to send an offering letter with a format as provided by Bridestory Platform (“Offering Letter”) to User.
(c) if User agrees with the Offering Letter, then User will click payment method using Bridestory Pay, and conduct a payment in accordance with the Offering Letter as well as an agreement between User and Vendor; and
(d) Bridestory will forward the payment from User to Vendor, after deducting the costs (if any)
4.2 The payments referred to Clause 4.1 (d), will be made by Bridestory to the Vendor by way of transfer to the Vendor Bank Account, at the latest 5 (five) Business Days since the receipt of the request for payment from Vendor through the Bridestory Platform, provided that the:
(a) Vendor has signed a cooperation agreement that is made between Bridestory and Vendor ("Vendor Cooperation Agreement")
(b) Vendor has completed the documents required in the Vendor Cooperation Agreement as stipulated in Clause 4.2 (a), i.e.:
(i) if individual: Identitiy Card (KTP) dan Tax Registration Number (NPWP); or
(ii) If company, such as a limited liability company or commanditaire vennotschap: NPWP and the last article of association; and
(c) name that appears on the Vendor Bank Account and NPWP used, are in accordance with the name of Vendor who signed the Vendor Cooperation Agreement.
If the signing in the Vendor Cooperation Agreement is on behalf of PT ABC, then the Vendor Bank Account and NPWP used must be on behalf of PT ABC.
5.1 In the use of Bridestory Pay, Bridestory reserves the right to impose, including but not limited to, a transaction fee and/or administration cost to the Vendor upon Transaction carried out (which will henceforth be referred to as "Fee"). The provisions regarding such Fees can be seen on the Dashboard Account, and may change at any time based on the consideration of Bridestory. Therefore, Vendor is obliged to periodically pay attention to all the information contained in the Dashboard Account.
5.2 For the purposes of payment of Fee, Bridestory reserves the right to directly cut the payment upon the Transaction from the User, before it passed on to the Vendor.
5.3 If there is a difference in the calculation of Fee between the Bridestory records and Vendor records, each party reserves the right to request a reconciliation. Reconciliation can be made directly, in a meeting, by mail or by email. Reconciliation results must be stated in the reconciliation report with a format that is considered sufficient by the parties.
6.1 Any Transaction made, Bridestory will give a Bridestory Point to Vendor, which can be used by Vendor to purchase products or services that are available on the Bridestory Platform ("Bridestory Point").
6.2 User can see the provisions regarding the amount of the Bridestory Point in the Dashboard Account. The amount of Bridestory Point can change at any time upon the consideration of Bridestory. Therefore, the Vendor is obliged to periodically pay attention to all the information contained in the Dashboard Account.
6.3 Bridestory reserves the right to cancel the Bridestory Point when there are indications of wrong-doing or fraud committed by Vendor.
7.1 Taxes arising in connection with the use of Bridestory Platform is the responsibility of each party, both Vendor and Bridestory, and each party is obliged to pay in accordance with the provisions of the taxation in the Republic of Indonesia.
7.2 Payment of Fees referred to Article 5.1 are inclusive of Value Added Tax (VAT). When Vendor has any questions with respect to taxation, then Vendor can contact Bridestory via email as follows: firstname.lastname@example.org.
8.1 Vendor understands that Transaction is a relationship between User and Vendor. Bridestory is only obligated to manage the Bridestory Platform as well as to facilitate Transaction, including but not limited to, the provision of Bridestory Pay. Therefore, Vendor releases Bridestory from any responsibility to the entire or partial losses or loss of profits experienced by Vendor, as well as the User arising out of, or in connection with the Transaction.
8.2 Everything that is related to the Bridestory Platform, provided by Bridestory "as it is". Bridestory does not represent and warrant that the Bridestory Platform is a perfect software. It is very possible for the occurrence of interruptions, mistakes, errors or virus infections in the Bridestory Platform, which may be caused, among other things, the loss of part or all of the information in the Bridestory Platform, or delay on orders in particular the use of the Bridestory Platform ("Disruption"). Vendor hereby states that the Vendor has understood the risks and release Bridestory from any responsibility to the entire or partial losses or loss of profits experienced by Vendor or User caused by Disruption.
8.3 In the event of Disruption towards the Bridestory Platform and/or Bridestory Pay, so that the Disruption causes (a) User fund has been taken but has not been accepted by Vendor; and/or (b) Vendor lost the Bridestory Point, then the Vendor is obliged to give notice to Bridestory via email to email@example.com.
8.4 In managing and providing services through the Bridestory Platform, Bridestory always keep security information provided by Vendor including but not limited to Registration Information, from lost or leakage caused by illegal attempt made by other party, by applying a reasonable system of safeguards. However Bridestory does not represent and warrant that the Bridestory Platform free from the threat of information leakage or loss caused by the other party, including but not limited to: (i) carding; (ii) cracking; (iii) phishing; and (iv) malware, addressed both to the Bridestory Platform as well as its supporting infrastructure. Vendor hereby declares that Vendor has understood the risks that may arise related to the case and release Bridestory from any form of liability against all or part of loss or lost of gain experienced by Vendor in connection with the leakage of the information caused by illegal attempt made by other party.
8.5 In the use of Bridestory Platform, Vendor represent and warrant that Vendor is the owner of the information given to Bridestory and/or informations uploaded into the Bridestory Platform. Therefore Vendor releases Bridestory from any liability arising in connection with the claim or claims from other parties that come from and/or related to the information provided by Vendor.
9.1 Everything about Bridestory, including but not limited to text, images, logos, content, features, software is protected by intellectual property rights on the basis of laws and regulations, including but not limited to: (i) Regulation No. 28 Year 2014 regarding Copyright; (ii) Regulation No. 13 Year 2016 regarding Patents; (iii) Regulation No. 20 of the year 2016 regarding Brands and Geographical Indications; and (iv) other relevant regulation ("Bridestory IPR"). Vendor is only allowed to use the Bridestory IPR for personal matters and not for commercial purposes.
9.2 As part of the Bridestory service, Bridestory will assist Vendor in marketing the Product. Therefore, Vendor hereby gives full rights to Bridestory to use the Vendor's content within the Bridestory Platform, including but not limited to, images, photos, designs, business names, for any purposes according to Bridestory’s consideration, without the obligation to ask for consent or notice to the Vendor.
Vendor is obligated to maintain the confidentiality of information given by Bridestory, or other information obtained by Vendor in connection with the use of Bridestory Platform, including but not limited to, Fee, commercial information, contractual, financial, trade secrets, ideas, concepts, technology, design, specifications, diagrams data, other technical information, in any form ("Confidential Information"). The obligation to maintain the confidentiality of Confidential Information are valid since Vendor received the Vendor Account, and will continue to apply even though Vendor has ended the relationship with Bridestory through the Vendor Account Termination.
If User breach the obligation to maintain the confidentiality from the Confidential Information, thus causing the incidence of the following things:
(a) disclosure of Confidential Information;
(b) theft, fraud, and/or abuse in connection with the Bridestory assets;
(c) the statement was wrong or false statements regarding Bridestory;
(d) insults or threat from any party to the Bridestory or Bridestory workers; and/or
(e) other things to the detriment of Bridestory in any form
then Vendor is fully responsible for conducting compensation for the whole Bridestory losses and/or loss of profit and/or Bridestory business partners arising out of, or in connection with Vendor's breach of the obligation to maintain the confidentiality of such Confidential Information.
11.1 In using Bridestory Platform, Vendor is prohibited from using, in any way the content as specified in Appendix II ("Prohibited Content”).
11.2 If there is an indication that Vendor is using the Prohibited Content in the Bridestory Platform, then Bridestory has the right to remove such Prohibited Content immediately from the Bridestory Platform.
11.3 At the latest of three (3) working days after the removal of Prohibited Content as referred to Clause 11.2, Bridestory will provide notification to Vendor via registered Vendor’s email in the Bridestory Platform.
11.4 When Vendors feels the content that is deleted is not Prohibited Content, then Vendor is obliged to prove it by submitting, among other things, the statement of the Ministry of Communication and Information which states that content deleted Content is not Prohibited Content.
12.1 If Vendor intends to end the Vendor’s relationship with Bridestory, which means an end to the enforceability of Vendor Terms and Conditions, then Vendor can do a closure of the Vendor Account, by way of submitting a request for the closure of the account by email Bridestory at firstname.lastname@example.org and Bridestory will process the request for the closure of the Vendor Account (”Vendor Account Termination”).
12.2 Vendor Account Termination does not absolve Vendor from all obligations arising before the date of Vendor Account Termination.
Violation of any provision in the Vendor Terms and Conditions and/or other provisions with respect to the use of the Bridestory Platform by Vendor, giving the rights to Bridestory for giving notice via registered Vendor’s email. When in a period of 5 (five) Business Days the Vendor does not remedy the violation, then Bridestory has the right to instantly perform the Vendor Account Termination.
Vendor Terms and Conditions is valid since Vendor completing the registration process, which is when Vendor has received the Vendor Account, and will continue to be valid unless terminated by Vendor or Bridestory through Vendor Account Termination.
15.1 Applicable Law. User Terms and Conditions and all matters arising out of or in connection with User Terms and Conditions, subject to and interpreted with the law of the Republic of Indonesia.
15.2 Dispute Settlement. Any difference or dispute that arises due to the interpretation and/or execution of User Terms and Conditions, or other provisions in relation to the use of the Bridestory Platform ("Dispute") will be resolved as far as possible by way of deliberation to reach a consensus. Any Disputes must be notified in writing, by email or in any other way it deems relevant. In the event that after 30 (thirty) days an agreement by way of discussion is not settled, then the Dispute will be settled by arbitration held in Jakarta and terminated by BANI with three (3) arbitrators appointed in accordance with administrative rules and regulations of the arbitration procedures of BANI, which the decision is binding as the first and final decision.
15.3 Amendment. Vendor agrees that Bridestory reserves the right to at any time change Vendor Terms and Conditions based on consideration and decision of Bridestory. Any changes to the Vendor Terms and Conditions will be informed to the registered Vendor’s email. The new Vendor Terms and Conditions will be effective 24 (twenty four) hours after it has been informed to the registered Vendor’s email. If Vendor is not willing to be bound with the new Vendor Terms and Conditions, Vendor can perform the Vendor Account Termination. When the Vendor Account Termination is not conducted, then Vendor is considered to have been willing to be bound by the new Vendor Terms and Conditions.
15.4 Severability. If there is a provision in this Vendor Terms and Conditions be deemed invalid, the invalid, unenforceable, or illegal either in whole or in part, based on regulations legislation, then it will not abolish the validity and enforceability of the other provisions in this Vendor Terms and Conditions
15.5 Lampiran. All attachments and documents referred to in this Vendor Terms and Conditions is a part that is inseparable from this Vendor Terms and Conditions and therefore bindingly applicable to Vendor.
Products that can be offered by the Vendor through the Bridestory Platform are as follows:

11. photo booth;
14. wedding planning
15. wedding cake;
16. hair and makeup;
17. entertainment (MC);
18. entertainment (Music);
19. entertainment (DJ);
21. others (unique services);
22. wedding shoes;
23. health and beauty;
24. boutonnieres and corsages;
25. sweet corner;
26. dance and choreography;
27. event rentals;
28. flowers; and
29. wedding accessories.
In using Bridestory Platform, Vendor are prohibited from using, in any manner, the contents which are as follows:
1. goods and/or services that contain negative content (pornography, gambling, violence, and the content of goods and services that violate any laws and regulation):
(a) goods and/or services that contain negative content of pornography:
(i) pornographic pictures, sketches, illustrations, photographs, text, voice, sound, moving image, animation, cartoon, conversations, gestures, or any other messages that contain obscenity or sexual exploitation that violates the norms of morality in society;
(ii) pornographic service i.e. all pornographic service that is implicit or explicit;
(b) goods and/or services that contains gambling, lottery and/or betting content;
(c) goods and/or services that contains content with material of hatred:
(i) objects, images, and/or services that harass, degrade, or contain a payload of hatred against an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
(ii) objects, pictures and/or services that advocate or justify violence or make any threats of danger against individuals or groups;
(iii) objects, pictures and/or services that provide services that eliminate the lives of others and/or persecution and/or bullying;
(iv) objects, pictures and/or services that incite or promote hatred against groups or individuals;
(d) goods and/or services contain content of graphic images that caused terror::
(i) objects, images, and/or the services of a picture or graphic that bleeds like bloodshed and horrible or weird accident;
(ii) objects, pictures and/or the services of a picture or graphic that contains the human body organs, blood;
(iii) objects, images, and/or service of torture on animal or human;
(e) goods and/or service that contains content that violates the intellectual property rights;
(f) goods and/or services that contain content of hacking service(cracking or hacking) and/or provide access without rights or against the law by electronic systems;;
(g) goods and/or services contain content provision and/or access to drugs, addictive substances and psychotropic substances;
(h) goods and/or services that contains content with material dishonesty, cheating or misleading others such as mystical ads or superstition, fraud, money laundering, services for falsification of documents (including the diplomas document and/or certificates), and pyramid schemes (including affiliate marketing or money game);
(i) goods and/or services that contain content of human trafficking and/or human organs;
(j) goods and/or services that contain content about smoking;
2. goods and/or services that do not have the permissions to be traded in accordance with the provisions of the laws and regulation:
(a) goods and/or services that contain content of military weapons, and explosives. Including in this matter about selling, supporting or facilitating the sale of weapons and weapon accessories that do not conform with laws and regulations such as the sale of ammunition, weapons parts, gun, rifle, air guns, weapons and pusher weapon;
(b) goods and/or services that contain content of medicines, food and/or beverage. Included in this category are, among others:
(i) substances and/or illegal drugs as set forth in the laws and regulations;
(ii) medications that require a prescription, drugs and its kind;
(iii) drugs or materials containing illicit substance;
(iv) drugs (including traditional medicine) which do not have a distribution permission and/or advertising material which is not yet/not approved by the relevant authorities; and/or;
(v) alcoholic beverage;
(c) goods and/or services that contain content of plants and/or animals that are protected by the country based on laws and regulations;
(d) goods and/or services that contain content about tools and/or prohibited devices and/or which are not certified by the ministry/agency example tools and/or telecommunications devices that are prohibited and/or certified by The Ministry of Communication and Information;
(e) goods and/or services that contain content of toxic and dangerous chemicals;
(f) goods and/or services that contains the home government subsidies;
(g) goods and/or services related to illegal wedding services; and
(h) goods and/or services relating to health which do not comply with the provisions of the laws and regulation.
